The festival, which was named as one of the "50 Moments That Changed The History of Rock 'n' Roll" by Rolling Stone magazine, began in 2002. It takes place on a 700-acre piece of land known as "The Farm." It was started by AC Entertainment in Knoxville and Superfly in New York.

The two purchased most of the land in 2007 and began making significant infrastructure improvements including adding roads, site improvements for drainage and planting trees. Music giant Live Nation Entertainment bought a controlling interest in 2016 and added permanent water lines and 400 permanent toilets and hundreds of permanent shower stalls and water filling stations.

In addition to the nearly 100 musical acts, the festival features comedy and cinema tents, dozens of vendors selling everything from gourmet food to unusual textiles and crafts. Through its Bonnaroo works Fund, the festival's philanthropic division, nearly $7 million has been provided to support local, regional and national arts, education and environmental organizations.
